PHAZTECH LLC — END USER LICENSE AGREEMENT (EULA)

This End User License Agreement (“EULA”) is a legal agreement between you (an individual or
a single entity) and Phaztech LLC (“Phaztech,” “we,” “us,” or “our”) governing your use of
the Phaztech TradeStation indicator software you have licensed, including the associated
EasyLanguage indicator file(s) and the LicenseCheck.dll component (collectively, the
“Software”). This EULA is incorporated by reference into, and should be read together with,
Phaztech’s Terms of Service. By installing, activating, or using the Software, you agree to
be bound by this EULA.

1. GRANT OF LICENSE

Subject to your compliance with this EULA and payment of all applicable fees, Phaztech
grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install
and use the Software for your own personal or internal business trading/analysis purposes,
solely within the TradeStation platform.

1.1 Scope of Purchase. Your license covers only the specific Indicator(s) or bundle you
purchased (as reflected in the entitlements attached to your license key), for the tier you
purchased (e.g., one-time/Lifetime, or a Monthly/Annual subscription while it remains active
and paid).

1.2 Device Limit. Each license key may be activated on up to two (2) devices at a time. If
you wish to use the Software on a different or additional device, you may remove (“deactivate”)
an existing device using the DeactivateThisComputer input included with each Indicator: set
it to True on the device you want to remove and reload the Indicator once, which frees that
device slot. If the device you need to remove is no longer accessible (e.g., a computer that
has already been retired, lost, or is no longer functional), contact support@phaztech.com for
manual assistance.

1.3 License Validation. The Software periodically connects to our license validation server
over the internet to confirm your license is valid and has not exceeded its device limit.
If your device is offline, the Software will continue to function normally for a limited
grace period based on your last successful validation, after which it will require a
successful validation to continue operating. This is a security feature to prevent
unauthorized copying and is not intended to interfere with normal use — if you experience
persistent validation failures while online, contact support@phaztech.com.

2. OWNERSHIP

The Software is licensed, not sold. Phaztech and its licensors retain all right, title, and
interest in and to the Software, including all intellectual property rights therein. This
EULA grants you no rights to the Software other than the limited license expressly stated
in Section 1.

3. RESTRICTIONS
================================================================================
You may not, and may not permit or assist any third party to:
(a) copy, distribute, publish, sell, resell, rent, lease, sublicense, or otherwise
transfer or share the Software or your license key with any third party;
(b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source
code, underlying algorithms, or trade secrets of the Software, except to the extent
such restriction is prohibited by applicable law;
(c) circumvent, disable, tamper with, or attempt to defeat the Software’s license
verification mechanism, including patching, modifying, or interfering with
LicenseCheck.dll or its communication with our license server;
(d) remove or alter any proprietary notices or labels on the Software;
(e) use the Software to build a competing product or service; or
(f) use the Software in any manner that violates applicable law.

Violation of this Section 3 may result in immediate termination of your license without
refund, in addition to any other remedies available to Phaztech at law or in equity.

4. TERM AND TERMINATION

4.1 Lifetime Licenses. A one-time (“Lifetime”) purchase grants a license for as long as you
comply with this EULA — it does not expire on its own, but remains subject to Phaztech’s
right to terminate for violation of this EULA as described below.

4.2 Subscription Licenses. A subscription license (Monthly/Annual) remains active for each
period you pay for. If you cancel or a payment fails, your license remains active through
the end of the period already paid for and will not renew afterward — see our Refund
Policy for full details.

4.3 Termination for Cause. Phaztech may suspend or terminate your license immediately, with
or without notice, if you violate this EULA, including the restrictions in Section 3. Upon
termination, you must stop using the Software and, if requested, confirm its removal from
your device(s).

5. TRADING RISK DISCLAIMER

The Software is a technical/cyclic analysis tool only. It does not constitute financial,
investment, trading, tax, or legal advice, and is not a recommendation to buy, sell, or
hold any financial instrument. Trading involves substantial risk of loss and is not
suitable for everyone. Past, hypothetical, or simulated performance is not indicative of
future results. You are solely responsible for any trading or investment decisions you make
using the Software. See Phaztech’s Terms of Service for the full trading risk disclaimer,
which applies equally to your use of the Software under this EULA.

6. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED,
INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PHAZTECH DOES NOT WARRANT THAT THE SOFTWARE WILL
BE ERROR-FREE, UNINTERRUPTED, OR WILL PRODUCE ANY PARTICULAR TRADING RESULT.

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHAZTECH SHALL NOT BE LIABLE FOR ANY INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY TRADING OR INVESTMENT
LOSSES, ARISING FROM YOUR USE OF THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY.
PHAZTECH’S TOTAL LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE
SOFTWARE GIVING RISE TO THE CLAIM.

8. THIRD-PARTY PLATFORM

The Software is designed to run within TradeStation, a platform owned and operated by a
third party unaffiliated with Phaztech. Phaztech is not responsible for TradeStation’s
availability, performance, market data accuracy, or any changes TradeStation makes that may
affect the Software’s operation.

9. NO GUARANTEE OF UNCIRCUMVENTABLE PROTECTION

While the Software includes license verification technology intended to deter unauthorized
copying, Phaztech makes no representation that this technology is or will remain immune to
circumvention. Section 3’s prohibition on circumvention applies regardless of whether such
circumvention is technically possible.

10. GOVERNING LAW
================================================================================
This EULA is governed by the laws of the State of North Carolina, United States, without
regard to its conflict-of-laws principles.

11. ENTIRE AGREEMENT
================================================================================
This EULA, together with Phaztech’s Terms of Service, Privacy Policy, and Refund Policy,
constitutes the entire agreement between you and Phaztech regarding the Software and
supersedes all prior agreements regarding its subject matter.
